Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Stock Sure, a stock management service provided by Stock Sure ("we", "our", or "us"). By accessing or using our service, you agree to be bound by these Terms.

Our service is operated from the United Kingdom and is subject to English law.

2. Service Description

Stock Sure provides cloud-based stock management software specifically designed for healthcare clinics. Our service includes:

  • Real-time stock tracking and inventory management
  • Protocol management for complex treatments
  • Automated reorder alerts and notifications
  • Staff accountability and audit trails
  • Reporting and analytics features

3. Account Registration

To use our service, you must:

  • Provide accurate and complete registration information
  • Be at least 18 years old or have legal authority to enter contracts
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised use of your account

4. Acceptable Use

You agree to use our service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the service for any illegal or unauthorised purpose
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorised access to any part of the service
  • Use the service to store or transmit malicious content
  • Reverse engineer or attempt to discover the source code
  • Share account credentials with unauthorised parties
  • Use automated tools to access the service without permission
  • Attempt to circumvent usage limits or restrictions
  • Use the service in a way that damages our reputation

Violation of these terms may result in immediate account suspension without refund.

5. Payment Terms

Subscription Fees

  • Subscription fees are charged monthly or annually in advance
  • All prices are in British Pounds (GBP) and include applicable VAT
  • Payment is due upon registration and then on each renewal date
  • Late payment may result in service suspension

Free Trial

  • New users may be eligible for a free trial period
  • No payment information is required during the trial
  • Data entered during trial is preserved upon subscription
  • Trial automatically expires without charges if not converted

Refunds

  • Refunds are available within 30 days of initial subscription
  • No refunds for subsequent renewal periods except at our sole discretion
  • Refund requests must be submitted to info@stocksure.io
  • Processing fees and third-party charges are non-refundable
  • Refunds may be refused if significant usage of the service has occurred

6. Data and Privacy

Your use of our service is subject to our Privacy Policy, which forms part of these Terms. We process your data in accordance with UK GDPR and Data Protection Act 2018.

You retain ownership of all data you upload to our service. You grant us the right to use your data solely to provide and improve our service.

7. Service Availability

We aim to provide 99.9% uptime but cannot guarantee uninterrupted service. Planned maintenance will be announced in advance where possible. We are not liable for service interruptions beyond our reasonable control.

8. Termination

By You

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • You remain responsible for charges incurred before cancellation

By Us

  • We may suspend or terminate accounts immediately for material breach of these Terms
  • We may discontinue the service with 30 days' notice
  • We reserve the right to refuse service to anyone at our discretion
  • Data export facilities will be provided before account closure (subject to account being in good standing)
  • No refunds will be provided for terminated accounts due to Terms violations

9. Intellectual Property

All intellectual property rights in our service, including software, design, content, and trademarks, belong to us or our licensors. These Terms do not grant you any rights to our intellectual property except as necessary to use our service.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability is limited to the lesser of: (a) the amount you paid for our service in the 12 months preceding any claim, or (b) £1,000. We are not liable for:

  • Indirect, consequential, special, or punitive damages
  • Loss of profits, data, business opportunities, or goodwill
  • Damages arising from third-party content, services, or integrations
  • Service interruptions, downtime, or data loss beyond our reasonable control
  • Your failure to backup data or maintain appropriate security
  • Actions or omissions of your staff or third parties
  • Any use of the service contrary to these Terms

You acknowledge that the service is provided "as is" and we make no warranties about accuracy, reliability, or fitness for purpose beyond those required by law.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our service, violation of these Terms, or infringement of any rights of another party.

12. Governing Law and Disputes

These Terms are governed by English law. Any disputes will be resolved through the courts of England and Wales. Before initiating formal proceedings, we encourage you to contact us to resolve the matter informally.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our service. Continued use after changes constitutes acceptance of the new Terms.

14. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, internet failures, or third-party service outages.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us. They supersede all prior agreements, representations, or understandings. No modifications are valid unless agreed to in writing by us.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
